Terms for SeeYouSoon Frakt.

This applies when a company books freight and when a haulier takes jobs through SeeYouSoon Frakt: who the contract is made with, who is responsible for the goods, and how complaints, consignment notes, payment and personal data are handled.

1. Parties and scope

SeeYouSoon is run by Timmarna Platform, a sole trader with organisation number 970905-3558, Lilla Bommen 1, 411 04 Göteborg. “We” in these terms means SeeYouSoon.

The terms apply in SeeYouSoon Frakt, where companies book goods transport by lorry and hauliers take the jobs. The parties are:

  • The transport buyer: the company that books the freight. The transport buyer is the consignor under the contract of carriage. In these terms we call the transport buyer “you”.
  • The haulier: the transport company that takes the job and performs the carriage as carrier.

Frakt is only for businesses. You book from a business account with an organisation number. Since both parties are traders, freedom of contract applies between them, and the consumer laws do not apply.

Private individuals do not book in Freight. A private individual who is moving or having individual pieces of furniture or household goods transported books in Moving (where the RUT deduction applies only to moving household goods between homes, never to transporting newly purchased goods). A parcel is sent with Express parcel.

Removal goods are not booked in Frakt either. When you book, you answer the question «Does the transport concern a household or office move (removal goods)?». If you answer yes, the booking cannot be made in Frakt, and the app sends you to Flytt. Used household goods and furnishings when moving home or office are removal goods, and they are not covered by Act (1974:610) on domestic road transport or the CMR. New furniture from a factory, a warehouse or a shop is ordinary goods and is booked in Frakt.

For the transport buyer the terms of use also apply, and for the haulier the partner terms and the data processing agreement. If they say something different from the freight terms, the freight terms apply in Frakt.

The terms are available in several languages so that everyone can read them. The Swedish text is the one that applies.

2. The role as a marketplace

SeeYouSoon provides only a technical intermediation service in which transport buyers and independent hauliers enter into direct contracts of carriage in the haulier's own name and for the haulier's own account. SeeYouSoon assumes no transport liability under Act (1974:610) on domestic road transport or the CMR Convention.

SeeYouSoon acts solely as a digital marketplace, without any transport or forwarding liability of its own.

The contract of carriage is always made directly between you and the haulier that accepts the job. By the button where you book, before any haulier has accepted, it says:

«The contract of carriage is made directly between you as the transport buyer and the haulier that accepts the job. Timmarna Platform (SeeYouSoon) provides only the digital marketplace and is neither a contracting carrier, a performing carrier nor a freight forwarder.»

When a haulier has accepted, its name, organisation number and checked operator licence appear in the booking confirmation as your direct contracting party. The same details appear by the button when you accept a counter-offer or choose a quote.

SeeYouSoon carries no goods and is not a party to the contract of carriage. The haulier performs the carriage and invoices it in its own name.

3. How a job works

You book in one of two ways:

  • «Request a quote». Verified hauliers submit quotes and you choose yourself. The contract of carriage is made with the haulier whose quote you choose.
  • Book at your maximum price. You enter the highest price you are willing to pay, and the contract of carriage is made with the first qualified haulier that accepts. Before the job is published you agree to this in the app:

«I agree that the contract of carriage is made directly with the first qualified haulier that accepts the job at no more than my price. The haulier's name, organisation number and checked operator licence are shown to me as soon as it has accepted.»

A haulier may instead propose another price. It only applies if you say yes to it in the app.

The haulier's identity is shown as soon as it has accepted. SeeYouSoon never gives a job to a haulier that has not accepted it itself, and never chooses a haulier for you afterwards.

You can cancel free of charge in the app until the haulier has assigned a vehicle and a driver.

How jobs are allocated

A job only goes to hauliers that meet the requirements: an approved and active account, valid licences, insurance and documents, their own price list for the vehicle class, a vehicle that suits the goods, the job's area and distance and, when you book at a maximum price, their own price no higher than your maximum price. The table shows the order between them (article 5 of Regulation (EU) 2019/1150).

Ratings do not affect the order today, and nobody can pay for a better place in it.

Sealed bids

A haulier never sees other hauliers' bids, quotes or prices, and never your maximum price. Only you as the transport buyer see the bids and quotes that come in. We show no price statistics. If we ever show statistics, they are anonymised, compiled from at least ten independent hauliers and at least 30 days old.

4. Price and times

  • The price is the haulier's own: from the haulier's price list, its counter-offer or its quote. SeeYouSoon sets no binding price and adds nothing on top. The «from» price in the app is the lowest among the hauliers' own price lists, not a price from us.
  • Waiting time under the conditions shown before you book is charged after delivery. Ferries, bridges, road charges and congestion tax are added at actual cost.
  • SeeYouSoon promises no time for collection or delivery and pays no compensation for delay. A time guarantee or a price reduction for delay applies only when the haulier itself offers and guarantees it in its bid, and it is then the haulier's commitment to you.
  • Times the app shows, for example the estimated time of arrival (ETA), are estimates.
  • The app's check of driving and rest times is a warning and a plausibility check, never an approval. At most it says «Theoretically feasible with a rested driver (under 561/2006) – the driver's tachograph always governs». A schedule that not even a rested driver alone can keep can only be published if you extend the time window or choose «Requires double manning (2 drivers, art. 8.5)».

5. Liability for the goods

Liability for the goods applies between you and the haulier: for domestic carriage under Act (1974:610) on domestic road transport and for international carriage under the CMR. Before you book, the app shows:

«Statutory limitation of liability: The haulier's liability for loss of or reduction in goods is limited by law to SEK 150 per kg of missing gross weight for domestic carriage (section 32 of Act 1974:610) and 8.33 SDR per kg for international carriage (art. 23.3 CMR). For delay, liability is limited to the carriage charge (section 35 of the Road Transport Act / art. 23.5 CMR).»

If you want the haulier to be liable for more, you can ask for a declaration of value (section 33 of Act 1974:610 and art. 24 CMR) or a special interest in delivery (section 36 of Act 1974:610 and art. 26 CMR). It applies only if the haulier approves it in its bid and states its surcharge. A haulier that approves it receives this warning:

«Ordinary carrier's liability insurance normally requires a separate supplementary policy with the insurer to cover increased liability under sections 33 and 36 of Act (1974:610) and art. 24 and 26 CMR.»

«SeeYouSoon does not sell or broker any cargo insurance. If the goods are worth more than SEK 150 per kg, you should take out your own cargo insurance with your insurer.»

We check that every haulier has its own carrier's liability insurance (section 11).

6. The consignor's information

As the consignor you have strict liability towards the haulier for damage and costs caused by incorrect weight information, inadequate packing or dangerous goods that have not been declared (sections 11, 14 and 15 of Act 1974:610 and art. 7, 10 and 22 CMR). The booking therefore requires:

  • the gross weight in kilos and the number of packages;
  • your answer to the question «Does the consignment contain dangerous goods (ADR)?», which is never preselected;
  • your confirmation «I confirm that the goods are correctly packed and marked.»

Dangerous goods. As the consignor you are responsible under ADR 1.4.2.1 for the goods being classified and authorised for carriage, for them being packed, marked and labelled, and for the information and documents given to the haulier being correct. The haulier is responsible under ADR 1.4.2.2 (section 11). SeeYouSoon never handles, loads or carries dangerous goods.

Export container. When you book an export container you enter the container's verified gross mass (VGM) in kilos, the weighing method (method 1 or method 2) and the first name and surname, in CAPITALS, of the person at the shipper who signs the VGM declaration (SOLAS chapter VI regulation 2 and TSFS 2010:174). As the shipper you alone are responsible for the VGM being correct, and for all extra costs and delays in the port if it is wrong.

Customs. SeeYouSoon is never your customs representative, neither direct nor indirect, and submits no customs declarations. You are responsible for the customs declaration yourself and only enter the reference in the app: the MRN of the export declaration or of the transit (T1 or T2).

Food. Refrigerated transport of food goes only to hauliers that have shown their food establishment registration (Regulation (EC) No 852/2004) and temperature control as well as, for international cross-border chilled or frozen transport, the vehicle's ATP certificate.

Waste. Transporting waste requires a permit from the county administrative board and cannot be booked in Frakt.

7. Complaints

If the goods are damaged, something is missing or they arrived too late, you complain to the haulier. The easiest way is «Report damage or a problem» on the delivered shipment in the app.

  • The complaint is registered with the time and sent at once to the haulier, in the app and by email to the haulier's registered email address.
  • An evidence package is locked to the complaint: the consignment note, the recipient's receipt (POD), the times and GPS positions at the stops, and the photos from loading and unloading.
  • A complaint made through the app is deemed to have reached the haulier at the time it is registered and sent in the system.

The time limits:

  • Domestic carriage (section 40 of Act 1974:610): notify the haulier without unreasonable delay.
  • International carriage (art. 30 CMR): complain in writing within 7 days, Sundays and public holidays excluded, if the damage was not apparent at delivery, and within 21 days for delay.

A complaint sent through the app and at the same time to the haulier's registered email address meets the requirement for a written complaint.

«Timmarna Platform (SeeYouSoon) is not a party to the contract of carriage and does not examine or settle complaints or claims for compensation.» The haulier answers and settles any claim directly with you.

8. Limitation of liability

Between businesses there is freedom of contract. This applies between SeeYouSoon and both transport buyers and hauliers:

  • SeeYouSoon disclaims all liability for indirect damage, consequential loss, loss of production, loss of profit, damage to goods and liability for delay, and for errors in route, ETA or driving and rest time calculations.
  • Timmarna Platform's total aggregate liability per calendar year is limited to the amount that the party concerned has paid in monthly fees to SeeYouSoon during the immediately preceding 12 months, however always at least 10 000 kr (and no more than 0.5 price base amounts if no higher fees have been paid).
  • The limitations do not apply when SeeYouSoon has caused the damage intentionally or through gross negligence.
  • Nothing in these terms limits liability that cannot be limited by law.

The haulier's liability to you for the goods follows Act (1974:610) and the CMR (section 5). This section does not change that.

9. Consignment note, CMR and signature

  • The consignment note and the CMR consignment note are issued by the consignor and the haulier. SeeYouSoon is only the technical system in which the parties draw up the consignment note and record proof of delivery.
  • The carrier field contains only the haulier's legal name, address and organisation number, never SeeYouSoon.
  • Every consignment note and e-CMR has this text in the footer: «Electronic consignment note drawn up between the stated Consignor and the stated Carrier via the technical system SeeYouSoon. Timmarna Platform is not a party to the contract of carriage.»
  • For domestic carriage in Sweden, the consignment note is drawn up digitally in the system with an immutable SHA-256 checksum, and the recipient signs for the delivery as digital proof of delivery (POD) with an SMS code, signature on the screen, GPS position, time and photo.
  • For all international carriage, for transit through a country that does not apply e-CMR, and when the vehicle is shipped by Ro-Ro ferry (Article 2 CMR), a physical paper CMR consignment note in three (3) original copies signed by hand by the consignor and the carrier and carried in the vehicle's cab is always required. The app requires confirmed printing before departure. The app's SMS code, screen signature and photo then serve solely as supplementary digital proof of delivery (POD) and make no claim to legal effect as an advanced electronic signature under the e-CMR Protocol.
  • An order with several recipients has one order number for price, planning and invoice, but its own sub-consignment note or CMR for each pair of consignor and recipient. When paper is required, the driver prints three originals per recipient. Each recipient signs their own consignment note, sees only their own information and has the right to receive their own signed copy.

10. Tracking and personal data

  • Timmarna Platform is an independent controller for the marketplace's tracking and display of the delivery. The haulier is an independent controller as employer and carrier. Where SeeYouSoon processes data only on the haulier's behalf, for example in the haulier's own view, the invoices and the archive of consignment notes, the data processing agreement applies.
  • You see the vehicle's position and estimated time of arrival (ETA) only during an active job: from when the driver heads for the loading until the unloading has been signed for. Tracking pauses automatically when the driver records a break or rest. The driver's speed is never shown.
  • Photos are taken of the goods, the load securing and the consignment note. The camera says: «Photograph only the goods/pallet and the consignment note – avoid getting people or faces in the picture.»
  • More about how we process personal data is in the privacy policy.

11. For hauliers

This section applies to you as a haulier, in addition to the partner terms.

Who can take jobs

  • Only Swedish-registered hauliers with a Swedish goods vehicle operator licence can take jobs in Frakt. Foreign hauliers cannot join yet.
  • Before your haulage company may take jobs, we check the organisation number, address, registration with the Swedish Companies Registration Office (Bolagsverket) and your payment account (article 30 of Regulation (EU) 2022/2065, DSA).
  • We check your operator licence manually with the Swedish Transport Agency before you join and then at least every 30 days (transitioning to automated BKY lookup if the platform exceeds 50 active hauliers). The answer is saved with the time, and the fact of the check is shown to the transport buyer in the booking confirmation.
  • Every vehicle you use must be registered on your operator licence with the Swedish Transport Agency. This also applies to light lorries and vans up to 3.5 tonnes.
  • International carriage with vehicles over 2.5 tonnes requires a Community licence (EU licence). Without a checked Community licence, your haulage company gets no international jobs.
  • Drivers' licence categories (B, C1, C and CE), CPC (YKB), driver card and ADR certificate are registered with their expiry dates. The app never assigns a heavy vehicle to a driver without a valid C or CE licence and a valid CPC, and never an ADR job above the threshold in ADR 1.1.3.6 to a driver without a valid ADR certificate.

Insurance

When you join, you upload valid certificates of insurance for:

  1. motor insurance for all registered vehicles;
  2. carrier's liability insurance (goods-in-transit liability insurance) covering liability under Act (1974:610) and the CMR for at least SEK 5 million per incident, or at least SEK 1 million for light vans up to 3.5 tonnes;
  3. general liability insurance, and for crane trucks also lifting liability.

If your operator licence, an insurance policy or a required security clearance ends, your haulage company gets no new jobs until a valid document has been approved.

Dangerous goods, food and waste

  • You are responsible as carrier under ADR 1.4.2.2. If the job requires a safety adviser under Act (2006:263) on the transport of dangerous goods, you must have your own.
  • For refrigerated transport of food you show your food establishment registration (Regulation (EC) No 852/2004) and temperature control as well as, for international cross-border chilled or frozen transport, the vehicle's ATP certificate.
  • Frakt does not accept transport of waste.

The job and the price are yours

  • You enter into the contract of carriage with the transport buyer in your own name and for your own account.
  • The vehicle and the driver you assign must be your own and registered and approved in the app.
  • You may not pass a job on to another haulier (subcontractor) unless the subcontractor, its vehicle and its driver are registered and verified in SeeYouSoon and the transport buyer has approved the change in the app before loading. If you cannot carry out the job, you hand it back in the app.
  • Your price is your own. You never see other hauliers' bids or prices, and they never see yours (section 3).
  • The calculation tool in the app is your own cost calculator: you enter your own costs, for example per kilometre and per hour, and your own mark-up. SeeYouSoon multiplies the job's actual distance and time by your own figures, and road, bridge and congestion charges are added at actual cost. SeeYouSoon does not work out or recommend any common price list.

Suspension, termination and complaints

  • If we restrict or suspend your haulage company, you receive the reasons in writing, in the app or by email, at the latest when the decision takes effect.
  • If we end the cooperation, you receive the reasons in writing at least 30 days in advance.
  • We may block your haulage company immediately, without notice, when your operator licence, your insurance or a required security clearance has ended, when the law or a decision by an authority requires it, and when you have repeatedly breached the terms (article 4.4 of Regulation (EU) 2019/1150).
  • If we change the terms for hauliers, we notify you by email at least 15 days before the change takes effect.
  • You can complain free of charge about a decision or an action by us, about technical problems and about how we follow the terms: in the app under Help centre («Start a new case») or by email to [email protected]. A person at our company handles the complaint and answers you in writing (article 11 of Regulation (EU) 2019/1150).

12. Payment, invoices and VAT

  • You pay the haulier directly. If the haulier invoices through SeeYouSoon, you pay the invoice on Stripe's payment page, and the money goes through Stripe Connect to the haulier's own Stripe account, with the haulier as the seller. The haulier can also invoice you from its own system.
  • The money never passes through Timmarna Platform's own account, not even for prepayment or a reservation. SeeYouSoon takes no commission on the job.
  • If the haulier chooses to invoice through the app, SeeYouSoon issues the invoice in the haulier's name and on the haulier's behalf (chapter 17, sections 1 and 4 of the VAT Act 2023:200). The prior agreement the law requires for this is part of these terms.
  • Every such invoice has the line «The invoice is issued by Timmarna Platform (SeeYouSoon) in …'s name and on its behalf.», where … is the haulier's name.
  • The invoice states the date, an invoice number where each haulier's invoices run in one number series on the haulier's own Stripe account, the haulier's full name, address, registered office, F-tax status and VAT number, the transport buyer's name, address and any VAT number, what the carriage was with route and date, and the taxable amount, VAT rate and VAT amount in kronor (chapter 17, section 24 of the VAT Act). If the transport buyer is a sole trader in domestic carriage, the buyer's registration number is printed on the invoice only if the buyer has ticked «Show my registration number on the invoice»; in international EU carriage with reverse charge, the buyer's VAT registration number (VAT number) is always printed.
  • The haulier reviews its invoices and is responsible for the VAT and the bookkeeping.

13. Ports

  • Container number, seal number, customs status (for example «Custom hold») and slot reference may be shared between the transport buyer and the haulier.
  • The driver's personal PIN code for the terminal gate and the driver's port access card (Terminal Access Card or Port Entry) are personal security credentials under the ISPS Code and Act (2004:487) on maritime security. They are never stored where the transport buyer or anyone else can see them, and they are never written into a booking, a message or a note.
  • On jobs to the Port of Gothenburg and Stockholm Norvik the app shows the driver: «ISPS-protected port area: General photography and filming is prohibited. Photograph only the container's seal/damage at the designated place if the terminal rules permit.»

14. Report illegal content

Anyone can report content or a job in Frakt that they believe is illegal (article 16 of Regulation (EU) 2022/2065, DSA). How to do it and what happens next is on the page Report content (DSA). You can always email [email protected] with the subject «Report of illegal content».

15. Changes and contact

  • Hauliers receive a change by email at least 15 days before it takes effect (section 11).
  • The new version is published here with its date and version number.
  • We never change the terms retroactively.

Swedish law applies to the terms.

If a dispute arises, we will first try to resolve it together. If that is not possible, the dispute will be decided by the general courts, with the Gothenburg District Court (Göteborgs tingsrätt) as the court of first instance.
